1. Introduction

1.1 These Terms and Conditions govern the supply of products and services by Identity Promotions (IPPG Gifts Ltd) ("the Company", "we", "us", or "our") to the client ("you", "your", or "the Client"). By placing an order with us, you agree to be bound by these Terms and Conditions.

2. Orders and Acceptance

2.1 All orders must be confirmed in writing by you, the Client.

2.2 Orders are subject to acceptance by the Company and availability of goods.

2.3 We reserve the right to refuse or cancel any order for any reason at any time.

3. Pricing and Payment

3.1 All prices are quoted in Euros (€) unless otherwise specified.

3.2 Prices are exclusive of VAT unless stated otherwise.

3.3 Payment terms 30 days after delivery..

3.4 The Company reserves the right to request deposits or full payment in advance where deemed necessary.

3.5 Late payments may incur interest charges per month until paid in full.

4. Delivery

4.1 Delivery times are estimates only and are not guaranteed.

4.2 The Company is not responsible for delays caused by third-party carriers or factors beyond our control.

4.3 Risk of loss or damage to goods passes to the Client upon delivery.

5. Branding and Customization

5.1 All artwork, logos, and other materials provided by the Client must meet our specified requirements.

5.2 Proofs will be provided for approval before final production. Once approved, the Company is not liable for errors or omissions.

6. Cancellations and Returns

6.1 Orders cannot be cancelled once production has commenced.

6.2 Returns are only accepted if goods are defective or incorrectly supplied by the Company.

6.3 Claims for defective goods must be made within 5 days of receipt.

7. Intellectual Property

7.1 The Client warrants that they have the right to use any trademarks, logos, or other intellectual property provided for branding purposes.

7.2 The Company is not liable for any claims relating to copyright or trademark infringement resulting from materials provided by the Client.

8. Limitation of Liability

8.1 The Company's liability is limited to the replacement or repair of defective goods or the refund of the purchase price, at our discretion.

8.2 The Company is not liable for any indirect, special, or consequential damages arising from the use of our products or services.

9. Governing Law

9.1 These Terms and Conditions are governed by the laws of Ireland.

9.2 Any disputes arising from these Terms and Conditions shall be subject to the exclusive jurisdiction of the courts of Ireland.

10. Changes to Terms

10.1 The Company reserves the right to modify these Terms and Conditions at any time. Any changes will be effective immediately upon posting on our website or otherwise notifying you.

11. Acceptance of Terms

11.1 By placing an order with Identity Promotions (IPPG Gifts Ltd), you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
